Terms of Sale
Effective April 1, 2026
Article 1 — Scope
These Terms of Sale ("Terms") apply, without restriction or reservation, to all sales concluded by the Seller to non-professional buyers ("Customers"), wishing to acquire the products offered for sale on the panelgator.com website.
The product offered for sale is:
- Panelgator License — lifetime license for the Panelgator panel cutting and nesting optimization software (desktop application).
The main characteristics of the Product are presented on panelgator.com, which the Customer must review before ordering.
These Terms are available at all times on panelgator.com and shall prevail over any other document.
The Customer acknowledges having read and accepted these Terms before placing an order online.
Unless proven otherwise, data recorded in the Seller's computer system constitutes proof of all transactions concluded with the Customer.

Article 2 — Product
Panelgator is a desktop application designed for panel cut optimization. It allows users to import cut lists, generate optimized cutting plans, and produce printable documents (cut sheets, nesting plans, labels).
The software operates entirely offline. Project files are stored locally on the user's workstation.
The product sold is a usage license for the software, non-exclusive and non-transferable, granted for an unlimited duration. One license is valid for one workstation. Updates are included for 1 year from the date of purchase. An optional renewal provides access to future versions.
Panelgator offers a 30-day free trial with no credit card and no commitment, providing full access to all features. At the end of the trial period, a license key is required to continue using the software.
Article 3 — Pricing
The Product is supplied at the price listed on panelgator.com at the time the order is placed.
The price is expressed in euros. VAT not applicable (Article 293 B of the French General Tax Code — sole proprietorship).
This price is firm and non-revisable during its period of validity. The Seller reserves the right to modify the price at any time outside the validity period.
As the product is delivered electronically (download), no shipping costs apply.
An invoice is issued by the Seller and sent to the Customer electronically after payment.
Article 4 — Orders
The Customer selects the Product they wish to order on panelgator.com. The order is placed online as follows:
- Selection of the product (Panelgator license) on the purchase page
- Redirect to the Stripe secure payment platform
- Entry of payment information and order confirmation
- Order confirmation by email, including the license key
The sale is only considered valid after full payment of the price.
Any order placed on panelgator.com constitutes the formation of a distance contract between the Customer and the Seller.
The Seller reserves the right to cancel or refuse any order from a Customer with whom there is an existing dispute relating to a previous order payment.
Article 5 — Payment terms
The price is paid by secure payment, by credit card, through the Stripe platform.
The price is payable in full by the Customer on the day the order is placed.
Payment data is exchanged in encrypted mode through the protocol defined by Stripe. The Seller does not store any payment card data.
Payments made by the Customer are only considered final after the Seller has effectively received the amounts due.
Article 6 — Delivery
The ordered Product is delivered electronically:
- The software is available for download from panelgator.com.
- The license key is sent by email to the address provided at purchase.
Delivery occurs within minutes of payment confirmation. Delivery is constituted by the availability of the download link and the sending of the license key.
If the Product has not been delivered within 24 hours of payment, for any cause other than force majeure or the Customer's fault, the sale may be terminated at the Customer's written request. Amounts paid will be refunded within fourteen days of the contract termination date.
Article 7 — Transfer of ownership
The transfer of the software usage license from the Seller to the Customer is only effective after full payment of the price, regardless of the delivery date.
Article 8 — Right of withdrawal
Given the nature of the Product sold (digital content not supplied on a tangible medium), orders placed by the Customer do not benefit from the right of withdrawal, in accordance with Article L221-28, 13° of the French Consumer Code.
The contract is therefore concluded definitively upon placement of the order by the Customer under the terms specified in these Terms of Sale.
The 30-day free trial allows the Customer to fully test the software before any purchase.
Article 9 — Seller liability — Warranties
The Product supplied by the Seller benefits from:
- the legal warranty of conformity, for defective Products or those not matching the order;
- the legal warranty against hidden defects arising from a design defect affecting the delivered product and rendering it unfit for use.
Legal warranty provisions
Article L217-4 of the French Consumer Code:
"The seller is required to deliver goods that conform to the contract and is liable for defects in conformity existing at the time of delivery. The seller is also liable for defects in conformity resulting from packaging, assembly instructions, or installation when charged under the contract or carried out under the seller's responsibility."
Article L217-5 of the French Consumer Code:
"The goods conform to the contract:
1° If they are fit for the purpose usually expected of similar goods and, where applicable: if they correspond to the description given by the seller and possess the qualities presented to the buyer in the form of a sample or model; if they possess the qualities that a buyer may legitimately expect given the public statements made by the seller, the producer, or their representative, particularly in advertising or labelling;
2° Or if they possess the characteristics defined by mutual agreement between the parties or are fit for any special purpose sought by the buyer, made known to the seller, and accepted by the latter."
Article L217-12 of the French Consumer Code:
"The action resulting from a defect of conformity lapses two years after delivery of the goods."
Article 1641 of the French Civil Code:
"The seller is liable for hidden defects in the item sold that render it unfit for its intended use, or that so impair that use that the buyer would not have purchased it, or would have paid a lesser price, had they known of such defects."
Article 1648, paragraph 1, of the French Civil Code:
"The action resulting from redhibitory defects must be brought by the buyer within two years of the discovery of the defect."
To assert their rights, the Customer must inform the Seller in writing (email) of the Product's non-conformity or the existence of hidden defects upon their discovery, at support@panelgator.com.
The Seller will refund or replace the Product found to be non-conforming or defective as soon as possible and at the latest within 30 days of the finding.
The Seller's liability shall not be engaged in the following cases:
- use not in accordance with the software documentation;
- incompatible technical environment (unsupported operating system, faulty hardware);
- modification or alteration of the software by the Customer;
- force majeure.
Screenshots and illustrations shown on the website are not contractual and do not engage the Seller's liability.
The user remains solely responsible for verifying cutting plans before production.
Software liability limitation
Panelgator is a decision-support tool. Cutting plans, optimization calculations, and documents generated by the software are suggestions and do not in any way substitute for the professional judgment of the user.
The software is provided "as is." The Seller strives to keep the software functional and free of major defects but does not guarantee uninterrupted or error-free operation, nor the absolute accuracy of the optimization results produced.
The user is required to verify all cutting plans, cut lists, and documents generated by the software before any production. Use of the software's results without prior verification is at the user's own risk.
The Seller shall not be held liable for any direct or indirect damages resulting from the use or inability to use the software, including but not limited to:
- loss of data or project files;
- calculation, optimization, or nesting errors;
- material loss, excessive offcuts, or panel waste;
- manufacturing defects related to the use of results produced by the software;
- production delays or loss of business;
- any financial loss, direct or indirect, related to the use of the software or its results.
The Seller is not responsible for malfunctions related to the user's technical environment (operating system, hardware, peripherals, third-party software).
In any event, the Seller's total liability under this contract is limited to the amount actually paid by the Customer for the license.
Article 10 — Technical support
Technical support is provided by email at support@panelgator.com. The Seller commits to responding within a reasonable timeframe, without guaranteeing a specific delay.
Article 11 — Personal data
11.1 Data collected
Personal data collected on the panelgator.com website includes:
- Product order: email address.
- Payment: financial data related to the Customer's bank card is collected and processed exclusively by Stripe. The Seller does not store any payment card data.
- Browsing: anonymized traffic data (Cloudflare Web Analytics, without cookies, without personal data).
The Panelgator software operates entirely offline. It does not collect, transmit, or store any personal data on an external server. During license activation, the only data transmitted is the license key and an anonymous machine identifier.
11.2 Recipients
Personal data is reserved for the Seller's exclusive use. It is not transmitted to any third party, except the following processors involved in service delivery:
- Stripe — payment processing (EU / United States, standard contractual clauses)
- Cloudflare — hosting, CDN, analytics (EU data processed in EU)
- GitHub — download file hosting (United States, standard contractual clauses)
11.3 Data controller
The data controller is the Seller (contact details in Article 1), as defined by French Law No. 78-17 (Data Protection Act) and Regulation 2016/679 (GDPR).
11.4 Processing limitations
The Customer's personal data is not used for advertising or marketing purposes without the Customer's express consent.
11.5 Data retention
- License data: retained for the duration of the license validity, then 5 years after the end of the commercial relationship (contractual civil statute of limitations).
- Payment data: retained by Stripe in accordance with their legal obligations.
- Browsing data: anonymized, no personal data retained.
11.6 Security and confidentiality
The Seller implements organizational, technical, software, and physical security measures to protect personal data against unauthorized alteration, destruction, and access. However, the Internet is not a fully secure environment, and the Seller cannot guarantee absolute security of information transmission or storage.
11.7 Customer rights
Under applicable data protection regulations (GDPR), Customers have the following rights:
- Right of access — obtain information about their personal data
- Right to rectification — request correction of inaccurate information
- Right to erasure — request deletion of their data
- Right to data portability — receive their data in a structured format
- Right to object — object to the processing of their data
- Right to restriction — restrict the processing of their data
These rights may be exercised by sending an email to support@panelgator.com. The data controller must respond within one month.
In case of refusal, the Customer may file a complaint with the CNIL (3 place de Fontenoy, 75007 Paris, France) — www.cnil.fr.
Article 12 — Intellectual property
The content of panelgator.com is the property of the Seller and is protected by French and international intellectual property laws.
Any total or partial reproduction of this content is strictly prohibited and may constitute copyright infringement.
Article 13 — Governing law — Language
These Terms and the transactions arising therefrom are governed by and subject to French law.
These Terms are written in French. Should they be translated into one or more foreign languages, only the French text shall prevail in case of dispute.
Article 14 — Disputes
For any complaint, please contact customer service at support@panelgator.com.
The Customer is informed that they may in any case resort to conventional mediation, through existing sectoral mediation bodies, or to any alternative dispute resolution method (conciliation, for example) in case of dispute.

All disputes arising from purchase and sale transactions under these Terms, which have not been settled amicably or through mediation, shall be submitted to the competent courts under common law.
